Found a Business You Want to Buy? Look Beyond the Revenue

Found a Business You Want to Buy? Look Beyond the Revenue

Found a business you are interested in buying?

The revenue number may be one of the first things that catches your attention.

But revenue alone does not tell a prospective buyer whether a business is financially attractive, operationally transferable or aligned with the buyer’s acquisition goals.

1. Understand the Cash Flow

Revenue shows how much money comes into the business. Buyers may also want to understand what remains after the costs of operating the company.

Expenses, margins, earnings trends, debt obligations and other financial factors can help provide a clearer picture of the business.

2. Look at the Customer Base

Where does the revenue come from?

A buyer may want to understand whether the company depends heavily on a few major customers or has a broader customer base.

Customer relationships, repeat business and concentration can all become relevant when evaluating an acquisition.

3. Understand How the Business Operates

A business is more than its financial statements.

Buyers may also need to understand employees, systems, processes, suppliers, facilities, technology and other elements required to keep the company operating.

4. Evaluate Owner Dependence

Ask an important question:

How much of the business depends on the current owner?

If the seller personally manages major customers, sales, operations or key relationships, a buyer may need to consider how those responsibilities will transfer after the acquisition.

5. Understand the Growth Story

Historical performance matters, but buyers may also consider what could affect the company going forward.

That can include market conditions, competitive position, capacity, opportunities for expansion and business-specific risks.

Revenue Is the Starting Point, Not the Whole Story

A business with significant revenue is not automatically the right acquisition.

A prospective buyer should consider the broader company: its financial performance, customers, operations, people, risks and ability to transition successfully to new ownership.

EIN Business Brokers provides a starting point for prospective buyers exploring business acquisition opportunities and the next steps in the transaction process.

Business opportunities, financial performance, valuations, financing, due diligence findings and transaction outcomes vary by company and circumstances. An initial inquiry does not guarantee an acquisition or completed transaction.
